PRACTICE AREAS

tax-exempt organizations and charitable planning

The tax issues associated with tax-exempt or charitable organizations can be particularly complex. We advise both public charities and private foundations. We are particularly proud of the consulting we do with family foundations. Issues of inter-generational governance are especially difficult for many families. We utilize our experiences to help guide the foundation creators (the senior generation) fashion a mission statement to document the values that motivate them, while working to empower the junior generation to fulfill their interests within the context of that mission.

The advice provided may include:
  • Addressing and planning for the issues associated with the initial organization of tax-exempt entities
  • Preparing IRS Form 1023s, applications for recognition of tax-exempt status
  • Planning for the ongoing management of tax-exempt organizations
  • Addressing issues of unrelated business taxable income, excess benefit transactions and limitations on lobbying expenses
  • Counseling clients and their private foundations on similar limitations, as well as more stringent restrictions on self-dealing and excess business holdings
  • Representing trustees of charitable lead and remainder trusts
  • Creating succession plans for private foundations
